Terms of Service

Welcome to Pawyz.

These Terms of Service ("Terms") govern the installation, access to, and use of the Pawyz application and related services ("Pawyz," "the Service") by Shopify merchants ("Merchant," "you," or "your"). Pawyz is provided by Pawyz LLC ("Pawyz," "we," "our," or "us").

By installing or using Pawyz, you agree to these Terms.

If you do not agree to these Terms, please do not install or use the Service.

1. Description of the Service

Pawyz provides educational payment guidance for Shopify merchants and their shoppers.

Our goal is to help shoppers understand meaningful payment considerations before they decide how to pay.

Pawyz explains payment considerations. Shoppers always decide how they want to pay.

Pawyz:

  • does not recommend payment methods,
  • does not process payments,
  • does not provide financial, legal, tax, or investment advice,
  • does not participate in payment authorization or payment processing.

Merchants remain solely responsible for their storefront, products, pricing, payment methods, checkout experience, and determining whether Pawyz is appropriate for their business.

2. Eligibility

You represent that you are authorized to install and use Pawyz on behalf of your business and have the authority to accept these Terms.

3. Merchant Responsibilities

Merchants are responsible for:

  • configuring Pawyz appropriately for their storefront,
  • maintaining accurate store information,
  • ensuring compliance with Shopify's requirements,
  • complying with all applicable laws and regulations,
  • determining whether Pawyz is appropriate for their business.

Merchants remain solely responsible for all payment methods, payment decisions, and payment experiences made available to shoppers.

4. Acceptable Use

You agree not to:

  • use Pawyz in violation of applicable law;
  • interfere with or disrupt the Service;
  • attempt to gain unauthorized access to Pawyz systems;
  • reverse engineer, copy, or exploit the Service except as permitted by law;
  • scrape, crawl, systematically extract, reproduce, or use Pawyz's educational guidance, conversation templates, logical frameworks, payment guidance, or proprietary content outside the Service.

5. Intellectual Property

Pawyz, including its software, trademarks, branding, documentation, educational guidance, designs, graphics, content, conversation framework, and underlying technology, is the property of Pawyz LLC and is protected by applicable intellectual property laws.

These Terms do not transfer ownership of any intellectual property to you.

6. Privacy

Your use of Pawyz is also governed by our Privacy Policy.

By using the Service, you acknowledge that you have reviewed the Privacy Policy.

7. Availability

We work to keep Pawyz available and reliable.

However, Pawyz is provided on an "as available" and "as is" basis.

We may update, improve, modify, suspend, or discontinue portions of the Service at any time.

Pawyz relies on third-party platforms, including Shopify.

Pawyz LLC is not responsible for interruptions, functionality changes, degraded performance, or business impacts resulting from changes, outages, policy updates, or restrictions imposed by Shopify or other third-party service providers.

8. Educational Guidance

Pawyz provides educational information designed to help shoppers understand payment considerations.

Pawyz does not recommend payment methods or direct shoppers toward any particular payment choice.

Merchants acknowledge that all payment decisions remain the responsibility of the shopper.

9. Disclaimers

To the fullest extent permitted by law:

  • Pawyz makes no guarantee that guidance will be complete, accurate, or appropriate for every shopper or purchase.
  • Pawyz does not guarantee increased sales, conversion rates, customer satisfaction, or financial outcomes.
  • Pawyz is not responsible for decisions made by shoppers, merchants, payment providers, financial institutions, or third-party services.

The Service is provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Pawyz LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, loss of business opportunity, loss of goodwill, or business interruption arising out of or relating to the use of the Service.

Pawyz LLC's total liability for any claim arising out of or relating to the Service shall not exceed the greater of:

  • the total fees paid to Pawyz LLC during the twelve (12) months preceding the claim; or
  • one hundred U.S. dollars (US $100), if no fees have been paid.

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply.

11. Indemnification

You agree to defend, indemnify, and hold harmless Pawyz LLC, its owners, officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from:

  • your use of the Service;
  • your violation of these Terms;
  • your violation of applicable law;
  • your Shopify storefront or business operations.

12. Termination

You may stop using Pawyz at any time by uninstalling the application from your Shopify store.

Pawyz LLC may suspend or terminate access to the Service if these Terms are violated or if continued access would create legal, security, or operational risks.

Merchant configuration data is removed following uninstall.

Operational analytics and interaction information are deleted or anonymized according to Pawyz's standard data retention practices unless retention is required for legal, security, or operational purposes.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

13. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will update the Effective Date shown at the top of this document.

Continued use of Pawyz after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles.

Any legal action arising from these Terms shall be brought in the appropriate state or federal courts located in Ohio.
